Partner & Referral Program Terms

Introduction

These Partner & Referral Program Terms ("Program Terms") govern your participation in the Ayzeo Referral Program and/or Reseller Partner Program (collectively, the "Programs"). These Program Terms supplement and are in addition to the Ayzeo Terms of Service. By participating in any Program, you agree to be bound by these Program Terms.

Ayzeo reserves the right to modify, suspend, or terminate any Program at any time, with or without notice. Continued participation after any modifications constitutes acceptance of the updated Program Terms.

1. Referral Program

a. Eligibility

To participate in the Referral Program, you must:

  • Have an active paid Ayzeo subscription
  • Have had your account in good standing for at least 7 days
  • Not have any outstanding balance or payment issues
  • Not have any previous violations of these Program Terms or our Terms of Service

b. How It Works

Eligible users receive a unique referral code. When a new user signs up using your referral link and completes their first paid subscription, both parties benefit:

You (the referrer)

Earn one month's worth of your subscription as credit

Your friend (referred user)

Gets 10% off their subscription forever

c. Referral Credit Amount

When you successfully refer a new paying customer, you earn a credit equal to one month of your own subscription (applied to your Stripe customer balance). The credit is calculated based on your actual billing:

  • Monthly subscribers: Earn your monthly price (e.g., Starter $39/mo → $39 credit)
  • Yearly subscribers: Earn 1/12 of your yearly price (e.g., Starter $370/yr → ~$31 credit)
  • The credit is based on YOUR plan and billing cycle, not what the referred user subscribes to

d. 60-Day Holding Period

Referral credits are subject to a 60-day holding period. Credits become available only after the referred user maintains an active paid subscription for a minimum of 60 consecutive days from their first payment date.

If the referred user cancels, requests a refund, or their subscription is terminated for any reason during the 60-day holding period, the referral credit will be forfeited and will not be applied.

e. Credit Limits and Caps

The following limits apply to referral credits:

  • Monthly Cap: Maximum of 10 successful referrals per calendar month
  • Lifetime Cap: Maximum of $500 USD in total referral credits per account
  • First Payment Only: Credits are awarded only for the referred user's first subscription payment

f. Credit Application

Referral credits are applied as a balance credit to your Stripe customer account and will automatically be applied to your next invoice(s). Credits cannot be withdrawn as cash, transferred to other accounts, or exchanged for any other form of compensation.

2. Reseller Partner Program

a. Application and Approval

The Reseller Partner Program is by application only. Ayzeo reserves the sole right to approve or reject any application at its discretion. Approval is not guaranteed, and Ayzeo is not obligated to provide reasons for rejection.

b. Commission Rate

Approved resellers earn a 10% commission on all qualifying subscription payments made by customers referred through their unique reseller link. This commission is calculated on the net payment amount (excluding taxes and any applicable discounts).

c. Recurring Commission

Unlike the Referral Program (which is one-time), reseller commissions are recurring – you earn commission on every payment made by your referred customers for as long as they maintain an active subscription.

d. 30-Day Holding Period

Commissions are subject to a 30-day holding period. Each commission becomes eligible for payout 30 days after the customer payment date, to allow for potential refunds or chargebacks.

e. Minimum Payout Threshold

Commissions are earned on every customer payment and accumulate in your account. Payouts are only generated once your total eligible commissions reach $50 USD or more. This minimum ensures administrative efficiency for both parties.

f. Monthly Payouts

Eligible commissions are aggregated monthly. At the end of each month, Ayzeo will generate a payout summary for all commissions that have completed their 30-day holding period. Resellers must submit an invoice for the payout amount, and payment will be made within 30 days of invoice receipt.

Invoice Requirements

  • Total Amount Cap: The invoice total (including any taxes, VAT, or fees) must not exceed the payout amount shown in your dashboard. If you need to add taxes, calculate them so the total equals the payout amount, not the net.
  • Bank Transfer Fees: Any bank transfer fees (e.g., international wire fees) will be deducted from your payout. You receive the payout amount minus transfer costs.

g. Customer Discount

Customers who sign up through a reseller link receive a 10% discount on their subscription. This discount cannot be combined with other promotional codes or discounts.

h. Tax Responsibilities

Resellers are solely responsible for reporting and paying any taxes owed on commission income. Ayzeo may require tax documentation (such as W-9 for US resellers or equivalent forms for international resellers) before processing payouts.

3. Prohibited Activities & Fraud Prevention

Zero Tolerance Policy

Ayzeo has a zero-tolerance policy for fraud and abuse. Violations will result in immediate forfeiture of all pending credits/commissions and permanent suspension from all Programs.

a. Self-Referrals

You may not refer yourself or any accounts you own, control, or have a financial interest in. This includes but is not limited to:

  • Creating multiple accounts to earn referral credits
  • Using the same email domain or payment method across referrer and referred accounts
  • Referring family members living in the same household
  • Referring business partners, employees, or contractors working for your organization

b. Fraudulent Referrals

The following activities are strictly prohibited:

  • Creating fake or temporary accounts to generate referrals
  • Incentivizing referrals by offering cash, gifts, or other compensation
  • Using bots, automated tools, or scripts to generate referrals
  • Purchasing traffic or leads specifically for referral purposes
  • Using stolen identities, credit cards, or payment methods
  • Colluding with others to game the referral system
  • Misrepresenting Ayzeo's services, pricing, or features to potential referrals

c. Velocity Limits

To prevent abuse, we monitor referral patterns. Accounts that generate an unusually high volume of referrals in a short time period (more than 3 in 24 hours or more than 5 in 7 days) may be flagged for review and temporarily suspended pending investigation.

d. Brand and Trademark Usage

You may not use Ayzeo's name, logo, trademarks, or branding in a way that implies endorsement, partnership, or official affiliation beyond your participation in the Program. You may not:

  • Bid on Ayzeo brand terms in paid advertising (PPC)
  • Create websites or landing pages that mimic official Ayzeo pages
  • Send spam emails or unsolicited communications using Ayzeo's name
  • Make false claims about being an official Ayzeo representative or employee

4. Fraud Detection Measures

Ayzeo employs various fraud detection measures to protect the integrity of the Programs. By participating, you consent to the following checks:

a. Information We Track

  • Email Domain Analysis: We compare email domains between referrer and referred accounts
  • Payment Method Fingerprinting: We track payment method identifiers to detect shared cards
  • IP Address Monitoring: We log and analyze IP addresses for patterns
  • Referral Velocity: We monitor the rate and timing of referrals
  • Account Behavior: We analyze usage patterns across related accounts

b. Flagged Referrals

Referrals or commissions that are flagged by our fraud detection systems will be held pending manual review. Ayzeo may, at its sole discretion, approve, reject, or request additional verification for any flagged transaction.

c. Account Audits

Ayzeo reserves the right to audit any account participating in the Programs at any time. You agree to cooperate with any reasonable requests for information or documentation during an audit.

5. Suspension and Termination

a. Suspension of Privileges

Ayzeo may suspend your participation in the Programs at any time, with or without notice, if we suspect any violation of these Program Terms, fraudulent activity, or abuse of the system. During suspension:

  • Your referral/reseller code will be deactivated
  • Pending credits and commissions will be frozen
  • No new referrals will be processed

b. Termination

Either party may terminate participation in the Programs at any time. Upon termination:

  • All pending credits and commissions in their holding period will be forfeited
  • Only credits/commissions that have already been applied or paid out will be honored
  • Your referral/reseller code will be permanently deactivated
  • You will no longer be eligible to participate in any Programs

c. Effect on Main Account

Suspension or termination from the Programs does not necessarily affect your main Ayzeo subscription account, unless the violation also constitutes a breach of the main Terms of Service.

6. Refunds, Chargebacks, and Clawbacks

a. Refund Impact

If a referred customer receives a refund for any reason, the associated referral credit or commission will be cancelled, regardless of whether it has been applied or paid out. If a credit has already been applied to your balance, it may be deducted from future credits.

b. Chargebacks

If a referred customer initiates a chargeback or payment dispute, the associated referral credit or commission will be immediately cancelled. Repeated chargebacks from your referrals may result in suspension from the Programs.

c. Commission Clawback

For resellers, if a commission has already been paid out and the associated customer payment is later refunded or charged back, Ayzeo reserves the right to deduct the commission amount from future payouts or invoice you for the clawback amount.

7. Disclaimers and Limitations

a. No Employment Relationship

Participation in the Programs does not create an employment, agency, joint venture, or partnership relationship between you and Ayzeo. You are an independent participant and are responsible for your own taxes, insurance, and business expenses.

b. No Guarantee of Earnings

Ayzeo makes no guarantee regarding the amount of credits or commissions you may earn. Results vary based on numerous factors including but not limited to your promotional efforts, audience, and market conditions.

c. Program Changes

Ayzeo reserves the right to modify commission rates, credit amounts, holding periods, eligibility requirements, and any other Program terms at any time. We will make reasonable efforts to notify participants of material changes, but changes may take effect immediately.

d. Limitation of Liability

In no event shall Ayzeo's liability related to the Programs exceed the total credits or commissions you have earned in the twelve (12) months preceding the event giving rise to liability, or $100 USD, whichever is less.
