Welcome to Ayzeo, a service provided by Fyrma Inc. ("Fyrma," "Ayzeo," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our AI and SEO website analysis services, including our web platform, API, and other integrated tools (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Services.

1. Use of the Services

a. Eligibility

You must be at least 18 years old to use our Services. By using the Services, you represent and warrant that you meet this eligibility requirement.

b. Account Registration

To access certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

c. Service Access

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business purposes or personal use.

2. User Conduct

  • Attempting to bypass any usage limits or restrictions imposed on your account
  • Using automated tools or scripts to access the Services without explicit permission

b. Compliance with Laws

You agree to comply with all applicable laws and regulations in connection with your use of the Services.

3. Data and Privacy

a. Data Collection and Use

By using the Services, you agree that Ayzeo may collect, use, and disclose information in accordance with our Privacy Policy.

b. Website Analysis Data

When you submit websites for analysis, we may store URLs, analysis results, and related metadata to provide the Services. You retain ownership of your data and analysis results.

c. Data Security

While we implement security measures to protect your data, you acknowledge that no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security.

4. Fees and Payment

a. Subscription Fees

Access to certain features of the Services requires you to pay subscription fees. All fees are stated in USD and are subject to applicable taxes. Payment is due in advance for the subscription period selected.

b. Changes to Fees

Ayzeo reserves the right to change its subscription fees at any time, upon notice to you. Any changes to fees will be effective at the start of your next billing cycle following such notice.

c. Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings or by contacting support.

5. Refund Policy

a. Limited Refund Policy

We offer limited refunds within 7 days of purchase only in cases where our service has demonstrated technical failure or inability to perform as advertised. If you experience technical issues that prevent you from using our Services as intended, you may request a refund by contacting our support team.

b. Refund Eligibility Conditions

Refunds are subject to the following strict conditions:

  • The refund request must be made within 7 days of the initial subscription date
  • Refunds are only available for technical service failures or inability to perform as advertised
  • Refunds are not available after you've accessed premium features, downloaded reports, or generated content
  • Each refund request requires a detailed explanation and is reviewed on a case-by-case basis
  • Refunds are not available for accounts that have violated these Terms
  • Processing of approved refunds may take 5-10 business days

c. No Refunds for Service Usage

Refunds are not available if you have successfully used any premium features including but not limited to: accessing advanced analysis results, downloading generated files (JSON-LD, LLMs.txt, etc.), generating content recommendations, or using any premium tools. By using these features, you acknowledge satisfaction with the service delivery.

d. No Refunds for Renewals

Subscription renewals are not eligible for refunds under any circumstances. Please ensure you cancel your subscription before the renewal date if you do not wish to continue the service. All renewal charges are final.

e. Pro-Rated Refunds

In exceptional circumstances, such as extended service outages or technical issues that significantly impact service availability for multiple days, we may provide pro-rated refunds at our sole discretion. These situations are evaluated independently and do not constitute a guarantee of refund eligibility.

6. Intellectual Property

a. Ayzeo's Intellectual Property

The Services and all related intellectual property rights are and will remain the exclusive property of Ayzeo and its licensors. You are not granted any rights to the Services except as expressly provided in these Terms.

b. User Content

You retain all rights to any content you submit, post, or display through the Services ("User Content"). However, by submitting User Content, you grant Ayzeo a worldwide, non-exclusive, royalty-free license to use, reproduce, and analyze the User Content solely for the purpose of providing the Services.

c. Feedback

You may choose to or we may invite you to submit feedback, comments, or ideas about the Services ("Feedback"). By submitting Feedback, you agree that Ayzeo is free to use such Feedback without any obligation to you.

7. Service Availability and Limitations

a. No Service Level Agreement

Ayzeo does not provide any Service Level Agreement (SLA) or uptime guarantees for standard subscription plans. While we strive to maintain high service availability, we do not guarantee uninterrupted, timely, secure, or error-free access to the Services. The Services may be unavailable from time to time due to scheduled maintenance, updates, emergency repairs, or unforeseen technical issues. We are not liable for any disruption, interruption, or unavailability of the Services.

b. Usage Limits

Your use of the Services may be subject to usage limits based on your subscription plan. These limits are designed to ensure fair usage and optimal performance for all users. Exceeding usage limits may result in temporary service restrictions or additional charges.

c. Website Access Limitations

We cannot guarantee successful analysis of all websites. Some websites may be inaccessible or only partially accessible to our analysis tools due to various technical restrictions, including but not limited to:

  • Bot-blocking mechanisms and anti-scraping measures
  • Firewalls, security systems, and intrusion prevention systems
  • Content Delivery Network (CDN) protection (e.g., Cloudflare, Akamai)
  • Rate limiting and IP blocking
  • Robots.txt restrictions and crawl delays
  • Password-protected, gated, or members-only content
  • Geographic restrictions and region-specific access controls
  • JavaScript-dependent rendering or dynamic content loading
  • CAPTCHA challenges and human verification systems
  • Server timeouts, errors, or unavailability

If our Services cannot fully access or analyze a website due to these or other technical limitations, no refund or credit will be provided. It remains your responsibility to ensure your website is accessible to our analysis tools if you wish to receive complete results.

d. Third-Party Dependencies

Our Services may depend on third-party services, APIs, AI models, and external websites. We are not responsible for the availability, accuracy, performance, or functionality of any third-party services that may affect our analysis results. Changes to third-party services, including API modifications, deprecations, or discontinuations, may impact the Services without notice.

e. Analysis Variability

Analysis results may vary over time due to changes in your website content, search engine algorithms, AI model updates, or other external factors. We do not guarantee consistent or reproducible results across multiple analyses of the same website.

8. Termination

a. Termination by You

You may terminate your account at any time by contacting us or using the account settings. For subscription cancellations, you can cancel your subscription at any time through your account settings or by contacting support, and your subscription will automatically end at the end of your current billing period. Upon account termination, your right to use the Services will immediately cease.

b. Termination by Ayzeo

Ayzeo may suspend or terminate your access to the Services at any time, with or without cause, and without prior notice. Reasons for termination may include but are not limited to your violation of these Terms, suspected fraudulent activity, or abuse of the Services.

c. Effect of Termination

Upon termination, you will lose access to your account and any data stored within the Services. We recommend exporting any important data before terminating your account.

9. User Responsibility for Implementation

Important: Analysis and Recommendations Only

Ayzeo provides analysis, recommendations, and suggestions only. All implementation is your sole responsibility.

a. Advisory Service Only

Ayzeo provides analysis, recommendations, and optimization suggestions only. We do not implement changes to your website, modify your code, or make any technical changes on your behalf. All recommendations are provided "as-is" for your consideration and optional implementation.

b. Implementation is Your Responsibility

You are solely responsible for:

  • Reviewing, evaluating, and deciding which recommendations to implement
  • Implementing any changes to your website's code, content, or structure
  • Testing all changes in a safe environment before deploying to production
  • Ensuring technical implementation is correct and compatible with your system
  • Maintaining backups of your website before making changes
  • Validating that changes work as intended without breaking existing functionality
  • Complying with all applicable laws, regulations, and platform policies

c. No Liability for Implementation

Ayzeo is not responsible for any consequences resulting from your implementation of our recommendations, including but not limited to:

  • Website downtime, errors, or functionality issues
  • Loss of data, content, or configurations
  • Security vulnerabilities introduced through implementation
  • Coding errors, bugs, or technical problems
  • Incorrect or incomplete implementation of suggestions
  • Negative impacts on search rankings, traffic, or conversions
  • Conflicts with existing code, plugins, or third-party services
  • Any damages or losses resulting from changes made to your website

d. Third-Party Implementation

If you hire a developer, agency, or other third party to implement our recommendations, you acknowledge that:

  • Ayzeo has no relationship with or control over third-party implementers
  • You are solely responsible for vetting, hiring, and managing third parties
  • Ayzeo is not liable for the quality, accuracy, or outcomes of third-party work
  • Any disputes with third-party implementers are between you and them

e. Code and File Generation

When the Services generate code, files (such as JSON-LD, LLMs.txt, or other formats), or technical suggestions, these are provided as starting points for your review and customization. You must:

  • Review all generated code and files before implementation
  • Customize and adapt generated content to your specific needs
  • Test thoroughly in a non-production environment
  • Ensure compatibility with your website's technical stack
  • Validate that generated content is accurate and appropriate for your use case

We do not guarantee that generated code or files will work perfectly in all environments without modification.

10. Disclaimers and Limitation of Liability

a. Disclaimer of Warranties

The Services are provided "as is" and "as available" without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Ayzeo does not warrant that the Services will be uninterrupted, error-free, or completely secure.

b. No Guarantee of Results

Ayzeo makes absolutely no guarantees, warranties, or promises regarding the results, outcomes, or effectiveness of implementing any recommendations provided through the Services. Specifically, we do not guarantee:

  • Improved search engine rankings or visibility
  • Increased website traffic, conversions, or revenue
  • Citations or mentions by AI systems, chatbots, or language models
  • Better SEO scores or performance metrics
  • Positive impact on your business outcomes or goals
  • Specific, measurable, or predictable results of any kind

Website optimization and AI visibility results depend on numerous complex, constantly changing factors entirely outside our control, including but not limited to: search engine algorithm updates, AI model changes, competitive landscape, content quality, implementation quality, user behavior, technical infrastructure, market conditions, and industry trends.

c. Analysis Accuracy Disclaimer

While we strive to provide accurate and helpful analysis results, Ayzeo makes no guarantees about the accuracy, completeness, currentness, or reliability of any analysis, data, recommendations, or suggestions provided through the Services. Analysis results are subject to limitations, errors, and may become outdated quickly. You should use your own judgment and, where appropriate, consult with qualified professionals before acting on any recommendations.

d. Limitation of Liability

To the fullest extent permitted by applicable law, Ayzeo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use of or inability to use the Services
  • Your implementation or non-implementation of any recommendations
  • Any errors, inaccuracies, or omissions in the Services or analysis results
  • Any changes to search rankings, traffic, or business metrics
  • Any unauthorized access to or use of your account or data
  • Any interruption or cessation of the Services
  • Any bugs, viruses, or other harmful components
  • Any third-party content, actions, or omissions

In no event shall Ayzeo's total aggregate liability exceed the amount you paid to Ayzeo in the twelve (12) months preceding the event giving rise to the liability, or $100 USD, whichever is less.

11. Governing Law and Dispute Resolution

a. Governing Law

These Terms are governed by and construed in accordance with the laws of the state of Delaware, United States, without regard to its conflict of laws principles.

b. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services will be resolved through good faith negotiation. If resolution cannot be reached, disputes may be resolved through binding arbitration in accordance with the rules of a recognized arbitration association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices.
